Revio Master Subscription Terms

Additional Terms are the applicable additional terms and conditions (if any) applying to particular Services and Products, available at [URL].

Agreement

means these Revio Master Subscription Terms, the Additional Terms and the Customer’s Order Form or SOW, as applicable, together with any documents and attachments incorporated into them.

Claim

means any claim, demand, suit, action or proceeding.

Confidential Information

with respect to a party, means any information of or concerning that party’s technical, commercial, financial, marketing, strategy or business affairs or plans, its clients, customers, employees, contractors or business partners, and any of its trade secrets, know-how, intellectual property, personal information, and any other information of any kind which is by its nature confidential or disclosed in circumstances where it ought reasonably be understood that the disclosure is confidential (whether or not the information is marked as such), where disclosed or made available by that party to the other party in connection with this Agreement.  The terms and pricing contained in this Agreement, the Products and the Documentation, are confidential to Revio.

Customer

means the customer specified in the Order Form or SOW.

Customer Data

means the data to be provided or made available or accessible by or on behalf of the Customer to Revio as part of Revio’s supply of a Product or Service, as detailed in the applicable Additional Terms.

Customer Environment

means the systems, including the hardware, software and storage infrastructure constituting the Customer’s technology environment (whether or not owned by the Customer) which is used in connection with the Customer’s receipt of a Product or Service.

Documentation

means, in order of priority (in the event of any inconsistency):

1. the description of a Product as set out in the Order Form; and

2. the Revio standard documentation made generally available to customers in connection with a Product (which may include service descriptions, specifications and user guides), as updated from time to time by Revio and available at [URL].

Fees

means the fees payable for Products and Services supplied under this Agreement as specified in or calculated in accordance with rates or other pricing details in the Order Form or SOW, and any other fees which Revio may charge in accordance with this Agreement.

GST

means goods and services tax as defined in the A New Tax System (Goods and Services Tax) Act 1999 (Cth).

Liability

means any loss, damages, cost or expense.

Revio

means Revio Cyber Security (ABN 24 795 184 574).

Order Form

means the Customer’s order for Products in the format designated by Revio which is executed between the Customer and Revio (and includes any online order form detailing the Customer’s order of Products offered by Revio and which the Customer accepted or agreed to online).

Personal Information

means “personal information” as defined in the Privacy Act 1988 (Cth) and any equivalent term in other legislation concerning privacy and data protection which applies to Revio.

Privacy Policy

means Revio’s privacy policy as updated by Revio from time to time and available at https://www.revio.tech/privacy.

Product

means Revio’s as-a-service offerings, being:

1. Online Security Awareness Training as-a-Service;

2. Phishing Awareness Training as-a-Service; or

3. such other Product offerings as Revio may from time to time make available for purchase by Customer,

as specified in the relevant Order Form.

Services

means the consulting and professional services described in a SOW. 

Statement of Work or SOW

means a statement of work in the form provided by Revio and signed by both parties, which sets out the scope and other details of Services to be provided by Revio to Customer, and the Fees for such Services.

Term

means the term of this Agreement as determined in accordance with clause 2.a.

Third Party Provider

means any third party supplier to Revio, including any third party hosting services provider or third party processor used and determined from time to time by Revio to host, support or provide other services to support, enable or facilitate the delivery of a Product by Revio.
